Platform Terms and Conditions

These Platform Terms and Conditions (these "Terms") govern your access to and use of the Nestly platform, website, mobile application, buyer experience tools, participating vendor marketplace, transaction workflow, content, communications, and related services (collectively, the "Platform").

The Platform is operated by Nestly Realty LLC, a real estate broker licensed by the New York State Department of State. In these Terms, "we," "us," and "our" refer to Nestly Realty LLC. A defined portion of the Platform, consisting of the participating vendor marketplace and related technology features (the "Marketplace Component"), is provided and controlled by Nestly Ventures LLC (doing business as "Nestly Ventures" and "NV," and referred to herein as "Nestly Ventures LLC"), an affiliate of Nestly Realty LLC under common ownership. By accessing or using the Platform, creating an account, clicking "I Agree," or otherwise accepting these Terms, you agree to be bound by these Terms.

1. Relationship to Other Agreements

These Terms apply to your use of the Platform. They do not replace any separate agreement you may enter into with Nestly Realty LLC or any Participating Vendor, including any broker, lender, attorney, title provider, insurance provider, inspector, mover, contractor, or other service provider.

If you enter into a separate agreement with a Participating Vendor, that separate agreement governs your relationship with that vendor. If you enter into a buyer agency agreement or other brokerage agreement with Nestly Realty LLC, that agreement governs the brokerage relationship, and in any conflict concerning brokerage services or compensation, that agreement controls. If these Terms conflict with a transaction-specific agreement signed by you, the transaction-specific agreement will control for that transaction.

2. Platform Operator and Affiliated Company

Nestly Realty LLC operates the Platform. Nestly Realty LLC is a New York licensed real estate broker.

Nestly Ventures LLC is an affiliate of Nestly Realty LLC under common ownership. Nestly Ventures LLC controls the Marketplace Component of the Platform, consisting of the participating vendor marketplace and related technology features. Nestly Ventures LLC is not a real estate broker and does not provide real estate brokerage services. Where Nestly Ventures LLC or another affiliated company provides or controls a portion of the Platform, or appears on the Platform, the affiliation will be disclosed, and you are not required to use any affiliated company.

Nestly Realty LLC provides real estate brokerage services only pursuant to required brokerage disclosures and a separate written buyer agency agreement, as described in Section 3. Services other than real estate brokerage, including services offered by Participating Vendors, are provided by the applicable Participating Vendor and not by Nestly Realty LLC. Nestly Realty LLC is not a law firm, lender, title insurance company, abstract company, escrow agent, insurance carrier, inspector, contractor, moving company, or financial advisor.

3. Real Estate Brokerage Services

Real estate brokerage services offered through the Platform are provided by Nestly Realty LLC as a licensed real estate broker, or by another licensed real estate brokerage, and not by any unlicensed party.

If you request a private tour, showing, offer assistance, negotiation assistance, listing-agent contact, or other brokerage service, Nestly Realty LLC will provide those services only pursuant to required brokerage disclosures, including the New York State Disclosure Form for Buyer and Seller and the New York State Housing and Anti-Discrimination Disclosure, and a separate written buyer agency agreement. Broker compensation is negotiable and is not set by law.

4. Platform Purpose

The Platform is intended to provide a more coordinated and transparent home-buying experience. The Platform may include tools for account creation, buyer education, participating vendor profiles, marketplace access, status updates, reminders, milestone tracking, document upload and coordination, communications with Nestly Realty LLC and Participating Vendors, and other buyer experience, marketplace, and transaction-related support tools.

The Platform does not guarantee that any transaction will close, close faster, close on particular terms, or produce any particular financial result. The Platform is intended to enhance the buyer experience, not to replace the judgment, obligations, or services of licensed professionals or other Participating Vendors.

5. Participating Vendor Marketplace

The Marketplace Component may include profiles, listings, advertisements, content, contact tools, or other visibility features for Participating Vendors. Participating Vendors may include real estate professionals, lenders, attorneys, title-related providers, insurance providers, movers, home inspectors, contractors, home service providers, and other businesses connected to the home-buying process.

A "Participating Vendor" means a vendor, professional, or service provider that has been accepted onto the Platform and has completed the applicable onboarding requirements, including any required vendor terms, profile setup, verification, compliance review, commercial arrangement, or platform participation process.

Participating Vendors are independent businesses or professionals. We do not control their professional judgment, service quality, fees, underwriting, legal advice, licensing status, insurance, availability, or performance. You are responsible for reviewing and evaluating any Participating Vendor before deciding whether to engage that vendor.

Any relationship between you and a Participating Vendor is separate from your relationship with Nestly Realty LLC and may be governed by that vendor's own engagement letter, service agreement, terms, disclosures, policies, or professional obligations.

Any request to contact a Participating Vendor through the Platform is initiated by the user. A vendor's presence on the Platform does not guarantee any service result, transaction result, engagement, approval, closing, or financial outcome.

6. Transaction Workflow and Vendor Onboarding Requirement

The "Transaction Workflow" means Platform features used to organize buyer-facing milestones, vendor communications, document exchange, status updates, and related transaction workflow activity within the Platform.

Only Participating Vendors may engage with the Transaction Workflow. A provider that is not a Participating Vendor may not access the Transaction Workflow, receive transaction workflow access, appear as an active Platform vendor, or communicate with a buyer through Platform workflow tools unless and until that provider completes the applicable onboarding process and is accepted as a Participating Vendor.

If a buyer identifies a provider that is not already on the Platform, the buyer may request that we invite that provider to join the Platform. We may send a platform onboarding invitation to that provider, but we are not required to accept the provider, approve the provider, expedite onboarding, or make the provider available through the Platform.

Until a non-participating provider becomes a Participating Vendor, any relationship or communication between the buyer and that provider occurs outside the Platform. Off-platform provider activity may not be available through the Transaction Workflow and may affect the buyer's ability to complete Platform-based workflow steps.

7. Participating Vendor Fees and Platform Revenue

Participating Vendors may pay fees in connection with the Platform, including membership fees, marketplace listing fees, advertising fees, enhanced profile fees, sponsorship fees, platform participation fees, technology access fees, administrative fees, or other commercial fees for Platform-related services, visibility, tools, workflow access, or participation.

Vendor fees are fixed platform, advertising, membership, enhanced profile, or participation fees and are not charged for referrals, buyer introductions, leads, client procurement, transaction opportunities, applications, approvals, engagements, contracts, closings, or transaction outcomes.

8. Affiliated or Related Vendors

Some Participating Vendors may be affiliated with, related to, or commercially connected with Nestly Realty LLC, Nestly Ventures LLC, their owners, affiliates, or business partners. Where a Participating Vendor is affiliated with Nestly Realty LLC or Nestly Ventures LLC, or where disclosure is otherwise required, we will identify the relationship through the Platform or through a separate disclosure. A Participating Vendor's presence on the Platform, including an affiliated vendor, does not, by itself, mean that we guarantee that vendor's services or that the vendor is the only available option for your needs. You are not required to use any affiliated vendor, and you remain free to select your own providers.

9. No Professional Advice Other Than Brokerage Services

Except for real estate brokerage services provided by Nestly Realty LLC pursuant to a written buyer agency agreement, the Platform does not provide legal, tax, lending, title, insurance, inspection, engineering, environmental, investment, financial, or other professional advice. Information on the Platform is otherwise provided for general informational, marketplace, buyer-experience, and coordination purposes only.

You should consult appropriate licensed professionals, including your attorney, lender, tax advisor, title provider, inspector, insurance provider, financial advisor, or other professional as needed for your particular transaction.

10. User Accounts

You may be required to create an account to use certain Platform features. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us of any unauthorized access or suspected security issue involving your account.

11. Communications Consent

By creating an account or providing your contact information, you consent to receive communications from Nestly Realty LLC related to your account, the Platform, your requests, and your transaction, by email, telephone, and text message, at the email address and telephone numbers you provide.

Where required by law, marketing calls or text messages sent using an automatic telephone dialing system or an artificial or prerecorded voice will be sent only with your prior express written consent, and your consent to those marketing communications is not a condition of using the Platform or of any purchase. Message and data rates may apply. You may opt out of text messages at any time by replying STOP to any text message, and you may opt out of marketing emails using the unsubscribe mechanism in those emails. You may continue to receive non-marketing messages necessary to service your account or transaction.

12. Electronic Communications, Records, and Signatures

By using the Platform, you consent to receive Platform communications, notices, disclosures, agreements, acknowledgments, and records electronically, unless applicable law requires otherwise.

You agree that electronic signatures, clickwrap acceptances, checkboxes, acknowledgments, and other electronic acceptance records may have the same legal effect as handwritten signatures, to the extent permitted by applicable law. Documents acknowledged through the Platform may be made available through your account. You may request a paper copy of any record at any time and may withdraw consent to electronic delivery by contacting us.

13. User Content and Documents

You may upload, submit, transmit, or authorize access to information, documents, communications, and other materials through the Platform ("User Content"). You represent that you have the right to submit or authorize the use of your User Content and that your User Content is accurate to the best of your knowledge.

You authorize us to use, store, process, display, transmit, and share User Content as reasonably necessary for Platform functionality, marketplace operation, Participating Vendor coordination, vendor onboarding invitations, compliance tracking, customer support, and related business purposes, subject to the Privacy Policy and applicable law.

If your User Content includes privileged attorney-client communications, attorney work product, legal advice, or legal strategy, you are responsible for deciding whether it should be uploaded or shared through the Platform. We do not provide legal advice and do not control the attorney-client relationship between you and any attorney.

14. Privacy

Your use of the Platform is subject to the Nestly Privacy Policy. By using the Platform, you authorize us to collect, use, store, process, and share information as described in the Privacy Policy and as reasonably necessary to provide Platform functionality, marketplace operation, Participating Vendor coordination, provider onboarding invitations, compliance tracking, customer support, and related business purposes.

15. Acceptable Use

You agree not to use the Platform for unlawful, fraudulent, misleading, abusive, or discriminatory purposes; submit false, inaccurate, incomplete, or misleading information; interfere with Platform operation, security, or availability; attempt to access another user's account or information without authorization; upload malicious code; scrape, copy, reverse engineer, or misuse Platform content or technology; harass, threaten, defame, or harm any person; violate fair housing, consumer-protection, privacy, data-security, lending, attorney ethics, licensing, or other applicable laws; misrepresent your relationship with Nestly Realty LLC, Nestly Ventures LLC, any Participating Vendor, or any transaction participant; or attempt to use the Transaction Workflow to engage with a provider that has not been accepted as a Participating Vendor.

16. Intellectual Property

The Platform, including its software, design, content, workflows, text, graphics, logos, trademarks, service marks, and other materials, is owned by Nestly Realty LLC, Nestly Ventures LLC, or their licensors and is protected by applicable intellectual property laws.

You may use the Platform only for your personal transaction-related purposes or other purposes expressly authorized by us. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform except as expressly permitted in writing.

17. Third-Party Services and Links

The Platform may include links, integrations, or access to third-party websites, services, Participating Vendors, tools, or materials. We are not responsible for third-party content, policies, services, advice, products, fees, errors, omissions, or performance. Your use of third-party services is governed by the terms and policies of those third parties.

18. Disclaimers

The Platform is provided on an "as is" and "as available" basis, to the maximum extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, secure, complete, current, or free of harmful components.

We do not guarantee that any transaction will close, that any deadline will be met, that any Participating Vendor will perform as expected, that any lender will approve financing, or that any service provider will be available or accepted onto the Platform.

Nothing on the Platform is intended to replace your independent review, judgment, or professional advice from licensed professionals or other qualified service providers. This Section does not limit, disclaim, or reduce any duty that Nestly Realty LLC owes to a client under a brokerage agreement or under applicable real estate law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, and except for any liability that cannot be limited under applicable law, Nestly Realty LLC and Nestly Ventures LLC and their affiliates, owners, officers, managers, employees, agents, and representatives shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising out of or relating to your use of the Platform.

Nothing in these Terms limits, disclaims, or reduces any duty or liability that Nestly Realty LLC owes to a client under a brokerage agreement or under applicable real estate law, or any liability that cannot be limited or excluded under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nestly Realty LLC and Nestly Ventures LLC and their affiliates, owners, officers, managers, employees, agents, and representatives from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use or misuse of the Platform; your violation of these Terms; your violation of applicable law; your User Content; or your dispute with any Participating Vendor or transaction participant.

21. Suspension and Termination

We may suspend or terminate your access to the Platform at any time if we reasonably believe that you violated these Terms, created risk for the Platform, violated applicable law, misused Platform information, created a security concern, or engaged in conduct that may harm us, another user, a Participating Vendor, or a transaction participant.

Termination of Platform access does not, by itself, terminate any separate agreement you may have with Nestly Realty LLC or any Participating Vendor, brokerage, lender, attorney, title provider, insurance provider, inspector, mover, contractor, or other third party.

22. Changes to the Platform or Terms

We may update the Platform and these Terms from time to time. If we make material changes to these Terms, we will provide notice through the Platform or by other reasonable means, and, where a change materially and adversely affects your rights or obligations, we will provide notice before the change takes effect. Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms, except where renewed affirmative consent is required by law or by a separate agreement. The "Last Updated" date above indicates when these Terms were last revised.

23. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

The parties shall first attempt in good faith to resolve any dispute arising under these Terms through direct negotiation. Any dispute arising out of or relating to these Terms or the Platform that is not resolved through negotiation may be brought in a state or federal court of competent jurisdiction located in New York County, New York, and the parties consent to the jurisdiction of those courts. Either party may seek temporary or preliminary injunctive relief in court.

Nothing in this Section applies to a dispute concerning real estate brokerage services or brokerage compensation between you and Nestly Realty LLC, which is governed by your buyer agency agreement or other brokerage agreement with Nestly Realty LLC and by applicable law.

24. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. These Terms, together with any policies or documents incorporated by reference, including the Privacy Policy, are the entire agreement between you and Nestly Realty LLC regarding your use of the Platform.

We may assign these Terms to an affiliate, successor, or acquirer. You may not assign these Terms without our prior written consent. Failure to enforce any provision of these Terms does not waive that provision. References to "including" mean "including without limitation."
