This Privacy Policy explains how Nestly Realty LLC ("we," "us," or "our") collects, uses, discloses, stores, and protects personal information in connection with the Nestly platform, website, mobile application, buyer experience tools, participating vendor marketplace, workflow-support tools, communications, and related services (collectively, the "Platform").
Nestly Realty LLC operates the Platform and is a real estate broker licensed by the New York State Department of State. A defined portion of the Platform, consisting of the participating vendor marketplace and related technology features (the "Marketplace Component"), is provided and controlled by Nestly Ventures LLC (doing business as "Nestly Ventures" and "NV," and referred to herein as "Nestly Ventures LLC"), an affiliate of Nestly Realty LLC under common ownership. This Privacy Policy covers personal information handled by Nestly Realty LLC in operating the Platform and by Nestly Ventures LLC in providing the Marketplace Component. It does not replace any separate privacy notice, agreement, disclosure, authorization, or policy provided by a participating vendor or other third party.
By using the Platform, creating an account, submitting information, accepting a clickwrap, contacting or requesting contact with a participating vendor, requesting that a provider be invited to join the Platform, or otherwise interacting with us, you acknowledge this Privacy Policy.
1. Scope of This Privacy Policy
This Privacy Policy applies to information we collect from or about:
● buyers and prospective buyers;
● users and visitors of the Platform;
● participating vendors and prospective participating vendors;
● providers identified by a buyer for possible invitation to join or apply to join the Platform;
● persons who contact us, request information, submit forms, or communicate through the Platform;
● persons who interact with us through email, phone, text message, online forms, portal messages, support requests, or other communications; and
● authorized representatives, contacts, or participants involved in a buyer's home-buying process.
2. Information We Collect
We may collect the following categories of information, depending on your relationship with us and your use of the Platform:
Contact and Account Information. Name, address, email address, phone number, login credentials, user ID, account settings, communication preferences, and related account details.
Identity, Authentication, and Acceptance Records. Information used to identify you, authenticate access, verify electronic signatures, record clickwrap acceptances, preserve version records, and maintain audit trails.
Buyer Profile and Home Search Information. Property preferences, desired location, price range, timing, financing status, service needs, buyer goals, and other information used to support the buyer experience.
Transaction-Related Information. Property details, transaction status, milestones, deadlines, offer or contract information, closing timeline, settlement-related details, documents uploaded or authorized by you, and other transaction-related records.
Participating Vendor Information. If you are a participating or prospective vendor, we may collect business contact information, licensing or credential information, profile content, service areas, languages, availability, advertising content, membership or participation status, billing information, and related documentation.
Provider Invitation and Onboarding Information. If a buyer requests that a provider not already on the Platform be invited to join, we may collect the provider's name, business contact information, service category, buyer request details, onboarding status, and related communications.
Marketplace Interaction Information. Information about vendor profiles viewed, vendors contacted, requests submitted, provider onboarding requests, advertisements or marketplace content viewed, messages sent, and other Platform activity.
Communications. Emails, texts, calls, support requests, portal messages, notices, feedback, customer-service communications, and other communications with us or through the Platform.
Payment and Billing Information. Information needed to process vendor membership fees, advertising fees, platform participation fees, enhanced profile fees, or other amounts payable to us. Payment card or bank information may be processed by third-party payment processors.
Technical and Usage Information. Device, browser, operating system, IP address, general location derived from IP address, referring pages, pages viewed, links clicked, session activity, log data, device identifiers, and Platform performance information.
Cookies and Similar Technologies. Cookies, pixels, tags, local storage, software development kits, analytics tools, and similar technologies used to operate, secure, improve, and measure the Platform.
3. Sources of Information
We may collect information directly from you, automatically from your use of the Platform, and from other sources, including:
● forms, documents, uploads, and communications submitted by you;
● participating vendors you select, contact, or authorize;
● providers you ask us to invite to join or apply to join the Platform;
● service providers that support Platform operations, analytics, communications, security, payments, and customer support;
● publicly available sources;
● business partners, affiliates, advisors, consultants, or representatives; and
● systems used to verify electronic records, acceptance records, Platform usage, vendor participation, vendor onboarding, and transaction-related status.
4. How We Use Information
We may use personal information to:
● operate, maintain, secure, and improve the Platform;
● create and manage user accounts;
● provide real estate brokerage services where you retain Nestly Realty LLC under a written buyer agency agreement;
● provide buyer experience tools, marketplace features, content, communications, reminders, and support;
● display participating vendor profiles, advertising, enhanced profiles, marketplace content, and related Platform features;
● facilitate user requests to contact, message, or receive information from participating vendors;
● facilitate a buyer's request that a non-participating provider be invited to complete Platform onboarding;
● evaluate, onboard, approve, manage, and communicate with prospective participating vendors;
● deliver, display, and record disclosures, policies, agreements, acknowledgments, clickwrap acceptances, and electronic signatures;
● maintain acceptance records, audit trails, version records, compliance records, and business records;
● process vendor memberships, platform participation fees, advertising fees, enhanced profile fees, and other Platform-related billing;
● communicate with you, by email, telephone, and text message, about your account, Platform activity, vendor requests, onboarding requests, support issues, documents, notifications, and updates, subject to the communications-consent and opt-out provisions in the Platform Terms and Conditions;
● analyze Platform usage, buyer engagement, marketplace activity, vendor participation, vendor onboarding activity, and user experience;
● monitor Platform security, prevent fraud, troubleshoot issues, and protect users and the Platform;
● comply with legal, regulatory, recordkeeping, contractual, audit, and dispute-related obligations;
● enforce agreements, policies, rights, and Platform rules; and
● perform other purposes disclosed at the time of collection or with your consent.
5. How We Share Information
We may share information as reasonably necessary for the purposes described in this Privacy Policy, including with:
● Nestly Ventures LLC, our affiliate under common ownership, in connection with the Marketplace Component of the Platform that it provides and controls;
● participating vendors you select, contact, request information from, or authorize, to facilitate your request;
● providers you ask us to invite to join the Platform, limited to information reasonably necessary to send and process the onboarding invitation;
● service providers and vendors that support Platform operations, hosting, analytics, communications, security, payment processing, and customer support, under obligations to protect the information;
● professional advisors, including legal, accounting, audit, and compliance advisors;
● authorities or other parties where reasonably necessary to comply with law, respond to legal process, enforce agreements, protect rights, safety, or property, prevent fraud, or address security issues; and
● a successor or acquirer in connection with a merger, acquisition, financing, reorganization, or sale of assets.
We may also share information with your consent or at your direction. Where we share information with an affiliated participating vendor, we identify the affiliation as described in the Platform Terms and Conditions.
6. Participating Vendor Marketplace and Onboarding Requirement
The Marketplace Component may allow users to view, compare, contact, request information from, or otherwise interact with participating vendors, including real estate professionals, lenders, attorneys, insurance providers, inspectors, movers, title-related participants, contractors, and other home transaction service providers. Some participating vendors may be affiliated with Nestly Realty LLC or Nestly Ventures LLC under common ownership.
Only participating vendors that have completed the applicable onboarding process may access or engage with the transaction workflow. A provider that is not already a participating vendor may be invited to apply or onboard onto the Platform, but the provider will not receive transaction workflow access unless and until the onboarding process is completed and accepted.
If you request contact with a participating vendor, submit a form connected to a participating vendor, or otherwise authorize a vendor interaction through the Platform, we may share information reasonably necessary to facilitate that request and support the Platform experience.
If you ask us to invite a provider that is not already on the Platform, we may use and share limited information reasonably necessary to send the onboarding invitation, identify the service category, and process the provider's onboarding request. We are not required to approve any provider for participation on the Platform.
Participating vendors are independent third parties. Their collection, use, storage, disclosure, and protection of information may be governed by their own agreements, privacy policies, professional obligations, and legal requirements.
7. No Sale of Personal Information
We do not sell personal information for money.
We do not knowingly share personal information for cross-context behavioral advertising unless disclosed and any legally required opt-out rights are provided.
Vendor membership fees, platform participation fees, enhanced profile fees, advertising fees, and related commercial fees are fees for Platform-related visibility, services, marketplace access, functionality, and participation. They are not payments for the sale of personal information.
8. Cookies, Analytics, and Tracking
We may use cookies and similar technologies to operate and secure the Platform, remember user preferences, authenticate users, maintain session information, understand Platform usage, improve functionality, measure performance, and troubleshoot technical issues.
You may be able to adjust cookie settings through your browser or device settings. Disabling cookies may affect Platform functionality. If the Platform uses third-party analytics or advertising tools, additional disclosures and opt-out mechanisms will be provided where required by law.
9. Data Security
We use administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, disclosure, alteration, loss, misuse, or destruction. These safeguards may include access controls, authentication, encryption where appropriate, secure storage, monitoring, vendor controls, personnel training, and incident-response procedures.
No system is completely secure. We cannot guarantee that unauthorized access, hacking, data loss, or security incidents will never occur.
10. Data Retention
We retain personal information for as long as reasonably necessary to provide the Platform, support buyer experience tools, administer vendor participation and onboarding, maintain business records, comply with legal and regulatory obligations, resolve disputes, enforce agreements, preserve audit trails, and support legitimate business purposes.
Acceptance records, clickwrap records, electronic signatures, disclosure acknowledgments, version records, vendor participation records, vendor onboarding records, and related Platform records may be retained as long as required by law, contract, dispute, audit, or business need.
11. Your Choices
Depending on your relationship with us and applicable law, you may have choices regarding your information, including the ability to:
● access certain information in your account;
● update inaccurate account information;
● request copies of certain documents;
● change communication preferences, including opting out of marketing emails and text messages as described in the Platform Terms and Conditions;
● decline certain optional Platform features;
● choose whether to contact or interact with participating vendors through the Platform;
● request that a provider be invited to apply or onboard as a participating vendor;
● manage certain cookie or tracking preferences where available; and
● contact us with privacy-related requests.
Some information may be required to use the Platform, maintain records, comply with legal obligations, process transactions or vendor participation, administer vendor onboarding, or administer Platform-related services.
12. State Privacy Rights
Depending on where you live and applicable law, you may have additional rights regarding your personal information, such as the right to request access, correction, deletion, portability, or information about certain disclosures.
To submit a privacy request, contact us using the information below. We may need to verify your identity before responding. We may deny or limit a request where permitted by law, including where information is needed to complete a transaction, comply with legal obligations, maintain security, prevent fraud, preserve records, resolve disputes, or enforce agreements.
13. Children's Privacy
The Platform is intended for adults and is not directed to children. We do not knowingly collect personal information from children under 13 years old. If we learn that we collected personal information from a child under 13, we will take reasonable steps to delete it.
14. Attorney-Client Privilege and Legal Information
We do not provide legal advice and do not form an attorney-client relationship with you through your use of the Platform. If you engage an attorney or law firm through or outside the Platform, that relationship is solely between you and that attorney or law firm.
You should not upload or share privileged attorney-client communications, attorney work product, legal advice, or legal strategy through the Platform unless you and your attorney determine that doing so is appropriate. We do not control any attorney's professional judgment, legal advice, or attorney-client relationship.
15. Third-Party Websites and Services
The Platform may contain links to third-party websites, tools, services, providers, or documents. We are not responsible for the privacy practices, security, content, policies, or performance of third parties. Your interactions with third parties are governed by their own agreements, privacy policies, disclosures, and practices.
16. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means.
The "Last Updated" date above indicates when this Privacy Policy was last revised. Your continued use of the Platform after an updated Privacy Policy becomes effective means you acknowledge the updated Privacy Policy, except where additional consent is required by law.
